General Conditions

• General Conditions of Sale (“these Conditions”) the “Company” means Abensal Lighting; the “Merchandise/Goods” means the goods agreed to be supplied by the Company and shall where required include services; the “Buyer” means the person, firm or corporation which has agreed to buy the goods.

• These Conditions shall apply to and form part of every contract of sale entered into between the Company and the Buyer to the exclusion of any other terms submitted at any time by the Buyer, and may not be varied without the prior consent in writing of the Company. The Company reserves the right to accept or reject any order received from the Buyer and to deliver minimum quantities either by value or by reference to the box quantity of the goods in question.

•  Reference to writing or any form of communication between the parties shall include SMS, emails and communication by electronic means.

• We reserve the right to change these terms and conditions of sale without notice to you in relation to future sales.

Sales

​

• The description and price of merchandise ordered will be as shown on the website at the time the order was placed

• There is no existing contract between Abensal Lighting and the buyer for the sale of goods until the buyer's order has been received, accepted by the Company and payment has been received in full. Only after all above conditions have been fulfilled, will a biding legal contract between both parties be in existence.

• Complete product details, description and dimension are included on the website with approximate guideline, the Company will not be held liable for any costs or damages incurred as a result of using or mishandling our products.

• All descriptions and illustrations and particulars of weights and dimensions and performance criteria issued by the Company in catalogues, price lists, advertising matter and specifications are by way of general descriptions and approximate only, and shall not form part of any contract or give rise to any liability on the part of the Company.

Payment

 

• Payment is accepted by cash, credit card and bank transfer (refer to refund & return policy)

• The price payable for the merchandise shall include VAT and unless otherwise stated in writing be the price as agreed between the Company and the Buyer or, if there is no agreement as to price, the Company’s list price ruling at the date of invoice. Bank charges will be to buyer’s account

• Merchandise shall not be delivered until payment have been received in full; unless by prior arrangement with Abensal Lighting and invoicing terms have been agreed in full. Ordering via our website payment is taken immediately and in full upon basket completion and order confirmation.

• We guarantee your payment security 100% by processing all orders made through the website.

 

 

Delivery / Shipping

 

• All dates for delivery of goods are given in good faith but are approximate only and shall not be of the essence of the contract and shall be calculated from the date of acceptance by the Company of the order of the Buyer.

• Merchandise will be delivered to buyer on the address provided at the time of purchase. Buyer should make sure that the address provided should be complete so as not to delay the shipment.

• Upon receipt of the merchandise, the buyer must check for damages and or shortages. Customer is required to give notice of any loss or damage within 48 hours of receipt. (refer to refund & return policy).

• If the buyer deliberately fails to take delivery of the merchandise, the Company reserves the right to account to the customer, any excess costs incurred in re-selling or storing the goods until actual delivery, or resale to another customer.

• For customers outside UAE, it is agreed to pay the full price (product prices and delivery cost) added, if they apply, to the forwarding agent or carrier, customs duties, VAT or other taxes due in connection with the importation of goods into the country of the delivery.

• Refunds do not include any shipping and handling charges shown on the packaging slip or invoice. Shipping charges for all returns must be prepaid and insured by buyer. The Buyer is responsible for any loss or damage during shipment. Shipping and handling charges are not refundable. Any amounts refunded will not include the cost of shipping.

 

 

Return of Merchandise

 

•  Return of merchandise due to damage /defective should be made in writing to info@abensal.com and or by calling the Company. (see refund and return policy)

• Goods delivered will not be accepted for return without the prior written consent of the Company and in accordance with the Company’s returns procedure. The Company reserves the right to charge the Buyer a handling charge which the Company may deduct from any credit allowed, unless the reason for any return by the Buyer is due to any fault or breach of these Conditions on the part of the Company.

• Any unauthorized goods returned will not be credited and any costs incurred in disposing of them will be borne by the Buyer

Cancellation of Order

 

• Customer may not cancel the order unless we agree in writing or within 24 hours upon purchase.

 

 

Warranty

 

• If the merchandise supplied to the customer developed a defect whilst under warranty, or you have a separate complaint about the goods, the customer must notify Abensal Lighting in writing via email or contact our customer services department. Goods will be repaired or replaced according to the nature of the fault.

• All merchandise (exclusive of lamps and drivers unless otherwise stated) supplied by the Company are sold complete with warranty free from defects for up to 12 months from the date of supply. The terms of any manufacturer's guarantee and after sales service will be as stated on the website or included within documentation accompanying the goods.

• The Buyer shall have followed any instructions issued by the Company in relation to the goods and their storage.

• Goods must be returned in accordance with standards (see: Refund and return policy

• This warranty is void if deemed that the goods have been incorrectly fitted or suffered abuse in a manner not intended for the purpose supplied.

Limitation of Liability 

​

• Under no circumstances will Abensal Lighting be responsible for any costs associated with any additional fees arising because of, but not limited to, late, damaged or incorrect delivery of goods.

• Liability for Abensal Lighting shall be limited to the price paid for the goods.

Force Majeure

 

• The Company shall be entitled without liability on its part and without prejudice to its other rights, to terminate the contract or any unfulfilled part thereof, or at its option to suspend or make partial deliveries or extend the time or times for delivery, if the manufacture of the goods by the Company or the Company’s suppliers, or the delivery of the goods or the performance by the Company of any of its obligations under the contract is hindered or delayed whether directly or indirectly by reason of the Buyer failing to furnish necessary instructions or information, or by reason of any industrial dispute or any cause beyond the reasonable control of the Company, or its subcontractors, whether or not such cause exists at the date of the Buyer’s order.

• Examples of those circumstances include but are not limited to act of God, accident, explosion, war, terrorism, fire, flood, transport delays, strikes and other industrial disputes and difficulty in obtaining supplies.

Copyright

 

• All drawings, descriptions and other information submitted by the Company shall remain the property of the Company together with the copyright therein.

GOVERNING LAW

​

• All contracts to which these General Conditions of Sale apply shall be governed by and construed in accordance with United Arab Emirates Law and or Qatar Law.
